Duncan Deng is a counsel at RuiMin. His primary practice areas include M&A, private equity and general corporate matters, with a particular focus on deals in the healthcare and life science sectors.


Before joining RuiMin, Duncan worked at the Beijing and Shenzhen offices of the leading Chinese firm Fangda Partners for 6 years.

Duncan speaks fluent Mandarin and English.

    • Advising AstraZeneca on its US$1.2bn acquisition of  Nasdaq-listed Gracell Biotechnology (ALB China 2024 M&A Deal of the Year Award)

    • Advising DP World, a world leader in global supply chain solutions based in Dubai, on its acquisition of 100 percent of the Cargo Services Seafreight business, a comprehensive logistics solutions provider

    • Advising CVC Capital Partners, on its acquisition of Scan  Global Logistics(SGL), a globalfull-service logistics provider, with an enterprise value of US$1.67bn

    • Advising OSRAM, on its sale of digital systems business to an A-share listed company Inventronics (300582.SZ)

    • Advising Ericsson (NASDAQ: ERIC), on its sale of Internet of Things Accelerator (IoTA) and Connected Vehicle Cloud (CVC) businesses to Aeris Communications, Inc

    • Advising Alibaba Group, Ant Group, Ali Health, Cainiao, Ele.me on their investments in target companies covering a wide range of industry sectors including TMT, healthcare, entertainment, advertising, transportation and logistics  

    • Advising Morgan Stanley Private Equity Asia on its acquisition of a public hospital in Jiangsu Province and providing legal services in the daily operation and subsequent sale of controlling equity interests to CR Medical (01515.HK)

    • Advising Lumentum Holdings Inc. (NASDAQ: LITE)on its US$918m acquisition of NeoPhotonics Corporation (NYSE: NPTN)

    • Advising Blue Sail Medical (002382.SZ) on its RMB5.9bn acquisition of Biosensors International Group, one of the largest manufacturers and suppliers of cardiovascular stents globally

    • Advising Ping'an Ventures on its acquisition of  a high-end medical clinic in Shenzhen




  • Qualifications

    Duncan obtained both LLB and LLM degrees  from China University of Political Science & Law. He was a recipient of the Dr. Helmut Sohmen Scholarship at Southern Methodist University in Texas, from which he graduated and obtained an LLM degree. He is qualified in China and the State of New York.
