Shawn Liu is a counsel at RuiMin. His primary practice areas include M&A, private equity, foreign direct investment, and general corporate advice.




Before joining RuiMin, Shawn was a counsel at the leading Chinese firm Fangda Partners, where he worked for 15 years.

Shawn speaks fluent English and Mandarin.


  • Experience
    • Advising Cainiao on: (i) its US$1.5bn financing and related restructuring; (ii) establishing an   RMB8.5bn warehousing and logistics fund with China Life; and (iii) its various investments totaling over RMB3.5bn in logistics-related area,including the acquisition of Zhejiang Xinyi

    • Advising Alibaba Group on its various investments and acquisitions, including the investment of about US$590m in Meizu, the investment in Qingdao Haier Multimedia Co., Ltd.

    • Advising Ant Group on its various investments, including the investments in Orbbec, Southern Galaxy Valley, JParking

    • Advising China Resources Enterprise on its RMB2.5bn acquisition of Tesco's China business (including about 20 shopping mall projects and more than 100 hypermarkets)

    • Advising Li & Fung Limited on its post-sale restructuring and buy-back of international freight management business from A.P. Moller-Maersk Group

    • Advising AAC Technologies in its acquisition of a majority stake in Premium Sound Solutions

    • Advising ABB Asea Brown Boveri Ltd. in its acquisition of the wiring and accessories business of Siemens in China

    • Advising Alibaba Pictures, Olympus, Renault, EDF and multiple other large domestic and multinational enterprises, as well as VKC Capital, Welkin Capital, PAG Investment, HongShan Capital and other institutional investors in their investments and relevant equity and asset transactions in various areas of software, automobile, life science, technology manufacturing, TMT, credit and financial services.
