Duncan Deng

Duncan Deng is a counsel of the RuiMin team. His primary practice areas include M&A, private equity, foreign direct investment and general corporate matters.

Before joining RuiMin, Duncan worked at Fangda Partners Beijing and Shenzhen offices as an associate for six years.
Duncan speaks proficient Mandarin and English.

  • Representing Alibaba Group, Ant Financial, Ali Health, Cainiao, Ele.me in their investments in target companies covering a wide range of industry sectors including TMT, healthcare, entertainment, advertising, transportation and logistics.
  • Advising Morgan Stanley Private Equity Asia in its acquisition of a public hospital in Jiangsu Province and providing legal services in the daily operation and subsequent sale of controlling equity interests to CR Medical (01515.HK).
  • Representing Lumentum Holdings Inc. (NASDAQ:LITE) and providing PRC legal service in connection with its US$918m acquisition of NeoPhotonics Corporation (NYSE:NPTN).
  • Representing Blue Sail Medical (002382.SZ) in its RMB5.9bn acquisition of Biosensors International Group, one of the largest manufacturers and suppliers of cardiovascular stents globally.
  • Representing Hopu Investment in its 1) Series E investment in a leading fresh grocery delivery company; 2) exit from a US-listed electric vehicle manufacturer through Rule 144; 3) Series D investment in a major road transportation company.
  • Representing Ping'an Trust in its acquisition of a high-end medical clinic in Shenzhen.
  • Representing Taikang Life 1) in its Series B and Series B+ investment in Just Biotherapeutics; 2) in the merger between Just Biotherapeutics and MabSpace at Cayman level; 3) in its investment in a medical information system developing company.

Qualifications

Duncan obtained both bachelor and master degrees in law from China University of Political Science & Law. He was a recipient of the Dr. Helmut Sohmen Scholarship at Southern Methodist University in Texas, from which he graduated and obtained a master degree in law. Duncan is admitted to practice law in the PRC and New York.
